This Member Agreement (the "Agreement") is between you and Rhodium for Website Management LLC (the "Company", "Rhodium", "we" or "us"). It governs your use of the Rhodium Medical Concierge mobile application and related services (the "Service"). By creating an account, or by using the Service, you confirm that you have read and accept this Agreement and our Privacy Policy. If you do not accept them, do not use the Service.
1. What Rhodium is
Rhodium is a medical concierge and care-coordination service. Through the Service you can keep your health records in a Digital Health Passport, request care, and have our concierge team match you with suitable healthcare providers, arrange bookings, and follow your requests through to completion.
The healthcare providers you are matched with (including doctors, hospitals, clinics, laboratories and other caregivers) are independent professionals and institutions. They, not Rhodium, are responsible for the medical care they provide, including diagnosis, treatment, prescriptions and clinical advice.
2. Not medical care, and not for emergencies
Rhodium does not practise medicine. Nothing in the Service, including content, reminders, alerts or messages from our team, is medical advice, a diagnosis or a treatment.
The Service is not for emergencies. If you think you have a medical emergency, contact your local emergency services or go to the nearest emergency department immediately.
Always seek the advice of a qualified healthcare provider about any medical condition, and do not delay or disregard professional advice because of something you read in the Service.
3. Your account
You must be at least 18 years old and have full legal capacity to create an account. Minors may use the Service only as dependents managed by a parent or legal guardian (see section 4).
Access to the Service may be by invitation, and we may decline or withdraw an invitation at our discretion.
You agree to give accurate, current and complete information, including when we verify your identity, and to keep it up to date.
You are responsible for keeping your login details and your device secure, and for all activity under your account. Tell us immediately at support@rhodium-solutions.com if you suspect unauthorised access.
Your account is personal to you and may not be shared, sold or transferred.
4. Family members and dependents
You may invite family members and manage dependents from your account.
If you add a dependent, including a minor, you confirm that you are their parent, legal guardian or otherwise legally authorised to act for them, and that you have the right to share their information with us.
You control which family members can see which information. You are responsible for the permissions you grant, and you can change or withdraw them at any time in the app.
5. Care requests, providers and appointments
When you submit a care request, you authorise our team to review it, contact suitable providers on your behalf, and share the information needed to arrange your care, as described in section 7.
We try to match you with appropriate, licensed providers, but we do not guarantee the availability, timing, outcome or quality of any medical service, or that a particular provider will accept your request.
Your clinical relationship is with the provider. Their own terms, consent forms, fees, cancellation rules and policies apply to the care they give you.
Please attend booked appointments or cancel them in good time. Providers may charge for late cancellations or missed appointments under their own policies.
6. Membership plans and payments
The Service is offered in membership tiers, which may include free and paid plans. The features, price, billing period and currency of each plan are shown in the app before you subscribe.
Fees for medical services charged by providers are separate from your membership fee unless the app clearly states otherwise.
You authorise us, or our payment partners, to charge your chosen payment method for the plan and any services you confirm. We do not store full card numbers or security codes.
Paid plans renew automatically at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period.
If you subscribe through the Apple App Store or Google Play, billing, renewal, cancellation and refunds are handled by that store under its own terms.
We may change plan prices or features. We will tell you in advance, and changes to price apply from your next billing period.
Except where required by law or stated in the app, fees already paid are not refundable.
7. Your health information
You decide what to store in your Health Passport. You are responsible for the accuracy of the information you add, and providers may rely on it.
We share your health information with providers and other parties only to arrange and deliver the care you request, with your consent, or where the law requires it.
Connecting device health data (such as Apple Health or activity tracking) is optional, and you can disconnect it at any time.
How we collect, use, protect and share your data, and your rights over it, are explained in our Privacy Policy, which forms part of this Agreement.
8. Acceptable use
You agree not to:
give false information, impersonate anyone, or use someone else's account or information without permission;
use the Service for any unlawful, fraudulent or harmful purpose;
harass, abuse or threaten our team, providers or other users;
upload content that is unlawful or that you have no right to share;
interfere with, disrupt, reverse engineer or attempt to gain unauthorised access to the Service or its systems;
copy, resell or commercially exploit the Service without our written permission.
9. Messages and notifications
The in-app chat is for coordinating your care with our team. It is not monitored around the clock and must not be used for emergencies.
By using the Service, you agree to receive service messages about your account, requests and appointments by in-app notification, email or SMS. You can manage marketing messages in the app at any time.
10. Intellectual property
The Service, including its software, design, text, graphics and the Rhodium name and logos, belongs to the Company or its licensors. We give you a personal, non-exclusive, non-transferable and revocable licence to use the app for its intended purpose while this Agreement is in force. Your health records remain yours.
11. Third-party services
The Service may rely on or link to third-party services, such as app stores, payment providers, maps and providers' own systems. Their terms and privacy policies apply to your use of them, and we are not responsible for them.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranty that the Service will be uninterrupted, error-free or available at all times, or that any provider or service will be available when you need it.
13. Limitation of liability
To the fullest extent permitted by law, the Company is not liable for the acts, omissions, advice or care of any independent provider, or for any indirect, incidental, special or consequential loss, including loss of profits or data, arising from your use of the Service.
Our total liability to you for any claim relating to the Service is limited to the membership fees you paid to us in the twelve months before the claim arose.
Nothing in this Agreement limits any liability that cannot be limited under applicable law.
14. Suspension, termination and account deletion
You may stop using the Service and delete your account at any time from the app's settings, or by contacting support@rhodium-solutions.com.
We may suspend or close your account if you breach this Agreement, if required by law, or to protect you, other users, providers or the Service. Where reasonable, we will tell you why.
After deletion, we keep only the data we are required to keep by law, as described in the Privacy Policy. Sections that by their nature should survive termination, including sections 10, 12, 13 and 16, continue to apply.
15. Changes to this Agreement
We may update this Agreement to reflect changes to the Service or the law. We will notify you in the app before material changes take effect and, where required, ask you to accept the updated version. If you do not accept it, you may delete your account. Continued use after the effective date means you accept the update.
16. Governing law and disputes
This Agreement is governed by the laws of the Hashemite Kingdom of Jordan. We will try to resolve any dispute with you amicably first. If that is not possible, the courts of Amman have exclusive jurisdiction, unless mandatory law where you live provides otherwise.
